Terms of Service

These terms govern purchases made on this platform from Luminsea LLC ("LUMINSEA", "we"), Miami, Florida, USA. By buying, you agree to them.

1. What you buy

Advertising license. A tokenized space is a time-limited, non-exclusive-to-the-waterway, digital advertising license for one geo-located zone, for the plan and term you choose (1, 2 or 3 years). During the term, LUMINSEA delivers your approved brand content to boaters in or near your zone through the LUMINSEA app and, where installed, LUMINSEA smart illuminated markers.

Ocean Data Pass. A license to access and use data collected by the LUMINSEA autonomous fleet for the region and term you choose, through reports, downloads or an API. The fleet is being deployed in stages; your pass covers each vessel in your region as it goes into operation.

2. What you do not buy

Licenses and Data Passes are services. They are not financial instruments, securities, investment contracts, shares of revenue or profits, or ownership of any waterway, vessel, marker or other physical asset. No part of the price is an investment and no return is promised or implied. Any token or record that represents your license exists only to prove the license and is not intended to be traded as an investment.

3. Your content

You are responsible for the content you submit (logos, text, video) and confirm you have the rights to use it. We may refuse or remove content that is illegal, misleading, offensive, unsafe for navigation, or that infringes others' rights. Optional commercials made by CINEMATIA are created from the information you provide; you may use them for your advertising.

4. Placement and availability

Zones, audience estimates (boats per day, nearby businesses) and placement tiers are estimates based on public data and are not guarantees of views or results. Delivery can pause for safety, weather, maintenance, legal requirements or events outside our control; we will extend your term for any pause longer than 7 consecutive days.

5. Payment

Payments are processed by Stripe. Prices are in US dollars and exclude any taxes that may apply.

• Space licenses, like a rental: on the day you buy you pay an entry month, the first month and the last month in advance. Then you pay one monthly payment for each remaining month; payments stop automatically, since the last month is already paid. The entry month is a non-refundable fee for opening the license.
• Pay all now: one payment for the whole term, with no entry month.
• Data Pass: monthly for the months of your term, or all at once.

If a monthly payment fails and isn't fixed within 14 days, we may pause delivery and, after 30 days, end the license.

7. Referrals and influencers

You may buy with a partner's link or code; the price is the same. LUMINSEA pays its partners a commission from its own revenue. Partners must clearly disclose that their posts are sponsored.

8. Accounts

You sign in with a one-time link sent to your email. Keep access to your email secure; you are responsible for activity in your account.

9. Liability

To the extent permitted by law, our total liability for any claim is limited to the amount you paid for the license or pass concerned in the 12 months before the claim. We are not liable for indirect or consequential losses.
